These Terms of Service ("Terms") govern your access to and use of Brain Technology's website, applications, APIs, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old (or the age of majority where you live) and legally able to enter a binding contract. You must provide accurate registration information and keep it updated. You are responsible for all activity under your account and for safeguarding your password and devices. We may suspend or terminate accounts that violate these Terms or pose a security risk.
The Service provides tools to connect supported brokers, configure strategies, and automate order flow subject to broker and exchange rules. We do not guarantee profits, strategy performance, or uninterrupted availability. Markets are risky; algorithms can misbehave or fail. You remain solely responsible for trades executed in your broker account and for complying with applicable laws, exchange circulars, and broker terms.
You authorise us to store and use broker credentials and tokens you provide solely to operate the Service. You may disconnect a broker at any time subject to open positions and broker rules. We are not responsible for outages, rate limits, or changes made by brokers or regulators to APIs or policies.
Paid plans, renewals, taxes (including GST where applicable), and invoicing are described at checkout or in your agreement with us. If billing is handled manually or off-platform, payment terms (due dates, suspension for non-payment, upgrades/downgrades) apply as communicated in writing or in the product. Failure to pay may result in suspension or termination of access.

We and our licensors own the Service, software, branding, and documentation. We grant you a limited, revocable, non-exclusive licence to use the Service for your internal purposes during your subscription. You retain rights in your own data; you grant us a licence to host, process, and display it as needed to provide the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRAIN TECHNOLOGY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR TRADING LOSSES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, IF GREATER, ONE HUNDRED DOLLARS / EQUIVALENT LOCAL CURRENCY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You will defend and indemnify Brain Technology against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading activity, your violation of these Terms, or your violation of third-party rights.
You may stop using the Service at any time. We may suspend or terminate access for breach, risk, or legal reasons. Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and dispute resolution) will survive termination.
These Terms are governed by the laws of India, excluding conflict-of-law rules. Courts at a venue you specify with counsel (for example courts in your state of incorporation) have exclusive jurisdiction, unless mandatory consumer law requires otherwise or you agree to arbitration instead — replace this clause after legal review.
We may modify these Terms by posting an updated version. Continued use after the effective date may constitute acceptance. If you do not agree, you must stop using the Service.
Replace jurisdiction, fee mechanics, and liability caps with language your lawyer approves for your entity structure, funding model, and target users.
